Registrations, Disclosures, CE and Outside Activities
Task 6.2 covers registration maintenance, Form U4 and U5 updates, continuing education, outside business activities, private securities transactions, employee accounts, sharing, lending, suspension, discipline, and heightened supervision.
How to study for Series 4
Approach each item as the options principal: identify the account, strategy or activity; calculate the exposure when needed; apply the current rule; and choose the supervisory action that prevents or corrects the risk.
Core concepts
Concept 1
The principal monitors whether associated persons remain properly registered, current on continuing education, accurately disclosed, and permitted to perform assigned options duties.
Exam cue: Classify the activity: outside employment, private securities transaction, personal brokerage account, loan, or sharing arrangement.
Concept 2
Outside business activities and private securities transactions require different notices and reviews; compensation can trigger written approval and supervision of a private transaction.
Exam cue: Check whether prior written notice, written approval, record entry, or ongoing supervision is required.
Concept 3
Employee account, sharing, lending, and disciplinary concerns require rule-specific review rather than informal manager permission.
Exam cue: A late disclosure may require both an amended filing and review of the underlying conduct.
Risk pitfalls and guardrails
Treating unpaid securities activity as outside employment rather than a private securities transaction.
Guardrail: Avoid answers that treat disclosure as a waiver, confuse account approval with recommendation approval, bypass principal review, shift losses after the fact, or rely on unsupported guarantees.
Letting an associated person perform functions while registration or CE status is inactive.
Guardrail: Avoid answers that treat disclosure as a waiver, confuse account approval with recommendation approval, bypass principal review, shift losses after the fact, or rely on unsupported guarantees.
Approving a customer loan based only on friendship without checking the permitted categories and firm procedures.
Guardrail: Avoid answers that treat disclosure as a waiver, confuse account approval with recommendation approval, bypass principal review, shift losses after the fact, or rely on unsupported guarantees.
